Tempus AI agreed to acquire Personalis for $1.5 billion, adding NeXT Personal — a tumour-informed molecular residual disease blood test — as it pushes its oncology business beyond diagnosis and treatment selection into recurrence monitoring. The deal gives Tempus in-house access to a test already covered by Medicare in three indications; Personalis also reported 10,384 clinical tests in Q2, up 33% sequentially, on preliminary revenue of $22.4 million.
Why It Matters To Oncology
The acquisition expands Tempus from cancer diagnosis and therapy selection into longitudinal monitoring for residual disease and recurrence.
NeXT Personal uses whole-genome sequencing to build a patient-specific tumour signature, then tracks matching circulating tumour DNA in blood over time.
For clinicians, that could support treatment-response assessment, detection of molecular residual disease, and earlier identification of relapse that may not yet appear on imaging.
The test is already Medicare-covered in three indications, which may ease near-term clinical adoption.
The Financials
Tempus is offering $16.25 per share, valuing Personalis at $1.5 billion.
That represents a 6% premium to Personalis' July 17 close.
The transaction will be settled largely in stock, though Tempus can elect to pay up to half in cash.
On the announcement, Personalis shares fell more than 13% and Tempus shares dropped nearly 9%.

Tempus CEO Eric Lefkofsky said the company waited until the testing business was closer to stronger gross profit and margin performance before moving to buy it.
Tempus had already been co-commercializing NeXT Personal since 2023 in lung cancer, breast cancer, and immunotherapy monitoring.
In 2024, Tempus expanded the relationship and invested about $36 million, lifting its stake in Personalis to roughly 19.3%.
